Terms of Service - Chess Clock

These Terms are a legal agreement between you and X Tracker LLC d/b/a Chess Clock - Play & Compete ("Company," "we," "us," "our") and govern your use of the Chess Clock - Play & Compete mobile application (the "App"). By downloading or using the App, you agree to these Terms.

1) License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use one copy of the App on devices you own or control, solely for personal use and in accordance with applicable app store rules.

2) Restrictions

You may not:

Copy, modify, distribute, sell, lease, or sublicense the App;
Reverse engineer, decompile, or attempt to derive source code from the App except where the law does not allow this restriction;
Use the App in any unlawful manner or to infringe others' rights.

3) Ownership

The App and all intellectual property rights are owned by the Company and its licensors. No rights are granted except as expressly stated.

4) App Functionality

The App is a chess clock/timer. We may update the App from time to time, and features may change.

5) Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.

6) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO DOWNLOAD THE APP.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

7) Dispute Resolution; Binding Arbitration; Class Action Waiver

Informal resolution first

Before initiating arbitration, you agree to contact us at support@moneypathapp.com with a brief description of the dispute, and we will try to resolve it informally within 30 days.

Binding arbitration

If we can't resolve the dispute, you and we agree that any dispute or claim arising out of or relating to the App or these Terms will be resolved by binding arbitration on an individual basis, not in court, except you may bring claims in small claims court if eligible.

Class action waiver

You and we agree not to bring or participate in any class, collective, or representative action.

Arbitration rules and venue

The arbitration will be administered by a recognized arbitration provider (such as AAA or JAMS) under its consumer rules. Unless the parties agree otherwise, the arbitration will take place in Miami-Dade County, Florida (or by video/telephone where allowed).

Opt-out

You may opt out of arbitration within 30 days of first downloading the App by emailing support@moneypathapp.com with subject "Arbitration Opt-Out" and including your name and a statement that you opt out.

8) Termination

These Terms remain effective until terminated. You may stop using the App at any time by uninstalling it. We may terminate this license if you materially breach these Terms.

9) Governing Law

These Terms are governed by the laws of the State of Florida, excluding its conflict-of-law rules, except where federal law applies.
